1.1 Eligibility
To use Stok, you must be at least 18 years old or have legal guardian consent. By creating an account, you confirm that all information provided is accurate and lawful.
1.2 Account Registration
Users may register as:
Buyers — purchasing licensed digital assets or prints
Vendors — uploading and selling licensed content
Hybrid Accounts — operating as both buyer and vendor
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
1.3 Account Conduct
You agree not to:
Use the platform for unlawful purposes
Misrepresent your identity or licensing rights
Attempt to hack, scrape, or disrupt platform functionality
Upload malicious files or harmful code
Stok reserves the right to suspend or terminate accounts violating these terms.
LICENSING, CONTENT & INTELLECTUAL PROPERTY
Ownership, Usage Rights & Restrictions
2.1 Vendor Ownership
All content uploaded remains the intellectual property of the original creator/vendor unless otherwise contractually assigned.
By uploading content, vendors grant Stok a non-exclusive, worldwide, royalty-free license to:
Display content on the marketplace
Market and promote assets
Distribute files to licensed buyers
2.2 Buyer License Grant
Upon purchase, buyers receive a non-exclusive usage license as specified per asset. License types may include:
Commercial License
Editorial License
Extended License
Print Rights
Each license outlines permitted usage, duration, distribution limits, and reproduction rights.
2.3 Usage Restrictions
Unless explicitly permitted, buyers may not:
Resell or redistribute the asset as a standalone file
Claim authorship or copyright ownership
Use assets in defamatory, illegal, or harmful contexts
Mint purchased assets as NFTs or blockchain products without extended rights
2.4 Copyright Infringement
Stok operates a zero-tolerance policy for copyright violations. If you believe your work has been infringed, you may submit a takedown request with proof of ownership.
3. PAYMENTS, COMMISSIONS & REFUNDS
Financial Terms
3.1 Pricing
Vendors set their own asset pricing within Stok’s platform guidelines. Prices may vary based on:
Resolution
License type
Exclusivity
Print size or format
All prices are listed in the platform’s designated currency unless otherwise stated.
3.2 Commission Structure
Stok operates on a revenue-share model. A commission percentage is deducted from each sale to cover:
Platform operations
Payment processing
Marketing & promotion
Hosting & storage
Commission rates are outlined in vendor onboarding agreements and may be updated with notice.
3.3 Payouts to Vendors
Vendor earnings are paid out on a scheduled basis, subject to:
Minimum payout thresholds
Payment verification
Fraud review processes
Stok is not responsible for delays caused by third-party payment providers.
3.4 Refund Policy
Due to the digital nature of downloadable assets:
All digital sales are final once downloaded
Refunds may be issued only if files are corrupted, misrepresented, or legally disputed
Print products may qualify for reprint/refund if physically damaged
PLATFORM GOVERNANCE & LEGAL
Liability, Termination & Jurisdiction
4.1 Platform Role
Stok functions as an intermediary marketplace connecting buyers and vendors. We do not:
Guarantee sales volume
Guarantee asset performance
Assume ownership of vendor content
4.2 Limitation of Liability
Stok is not liable for:
Misuse of licensed content by buyers
Copyright disputes between third parties
Loss of revenue, profits, or business opportunities
Platform downtime or technical interruptions
Use of the platform is at your own risk.
4.3 Termination of Use
We reserve the right to suspend or terminate accounts that:
Breach licensing laws
Upload stolen or fraudulent content
Engage in abusive or unethical conduct
Attempt to manipulate platform systems
Upon termination, licenses already purchased by buyers remain valid.
4.4 Amendments to Terms
Stok may update these Terms & Conditions periodically. Users will be notified of significant changes. Continued use of the platform constitutes acceptance of revised terms.
4.5 Governing Law
These Terms are governed by the laws of South Africa, unless otherwise required by international commerce regulations.
